Before using the Eudika platform, you must agree to the Terms of Use. We reserve the right to modify these terms at any time by posting updated “Terms and Conditions” on Eudika. Any changes become effective immediately upon posting. We will inform our users of these changes via social media. Continued use of the Eudika platform requires your agreement to any revised terms.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS SITE OR ANY SERVICES OFFERED BY EUDIKA. THIS AGREEMENT ESTABLISHES THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE EUDIKA PLATFORM AND ALL SERVICES PROVIDED ON THE SITE.

By agreeing to the Terms of Use when prompted, or by using the Site in any way, including but not limited to visiting or browsing the Site, you ('user, student, tutor, guardian, or any other party') consent to be bound by this Agreement. This Agreement applies to all members of the Site.

Eudika is a Marketplace

The site serves as a marketplace connecting those seeking tutors and those offering tutoring services. Tuition rates are determined by guardians and/or students. You acknowledge and agree that Eudika does not control the actions or omissions of any user and makes no representations or warranties regarding the quality of services provided by users. You understand and agree that Eudika is not liable for the performance or behavior, whether online or offline, of any user of the site.

You accept that Eudika operates as an online platform facilitating the matching of tutors and students, assisting users in finding verified tutors and tuition opportunities. Eudika is not accountable for any disputes or issues arising from the interactions between tutors and guardians/students within the context of tuition engagements. Therefore, use this platform at your own risk.

Membership Eligibility

If you are under 18 years of age, you cannot register as a user of the platform or engage in transactions on it. Users over 18 can only use the site or services under the supervision of a parent or guardian who agrees to the Terms. Parents or legal guardians of children under 18 can use the site or services on behalf of their minor child. By using the site or services on behalf of a minor, you confirm that you are the parent or legal guardian of that child. If you do not meet these criteria, you should not use the site or services. Membership is not allowed where prohibited by law, and the right to access the site is withdrawn in those jurisdictions. By using the site and/or services, you affirm that you have the legal right and capacity to agree to these Terms and will comply with all of their conditions. You agree to: (a) provide accurate, current, and complete information as prompted by the registration form ('Registration Data'); (b) maintain the security of your password and identification; (c) keep the Registration Data and any information provided to Eudika up-to-date and accurate; and (e) accept the risks of unauthorized access to your information and Registration Data.

Tutors (Providing Service)

As a tutor, you are required to complete the service requested by the Service Requester (student, guardian, etc.). If selected as a tutor, you should contact the Service Requester before making your offer to clarify any terms and conditions. By submitting an offer, you agree to the service request conditions, provided they are not against this Agreement or unlawful. Tutors must provide proof or disclose their qualifications to the satisfaction of the student or guardian before and if requested during the tuition engagement. Eudika does not ensure a tutor for every student or set tuition fees for tutors or students. All tuition listed on our site are verified to the best of our ability. Eudika is not liable for undisclosed information by the student or guardian. Tutors are encouraged to use our online payment gateway for platform charges, as it is safe and secure. Tutors are expected to conduct themselves in a manner that is commonly accepted in tutor-student relationships.

Platform Charges and Return Policy for Tutors

Creating a tutor account on our platform is initially free of charge. However, we impose three types of fees on tutors:

'Confirmation Fee': This fee is required after the confirmation of a tuition job, applicable if the job is secured through Eudika Administration or if the payment is made in cash by the guardian. The fee varies depending on the source of the tuition job: Tk 1000 for jobs through Eudika, and Tk 500 for jobs secured directly through a student/guardian.
'Platform Charge': For online tutoring, Eudika collects the full salary for the tuition job in advance from the guardian/student on behalf of the tutor via our online payment gateway. The tutor receives this amount at the end of the month, after deducting a platform charge of 10%.
'Subscription Fee': This is a monthly premium subscription for tutors to access additional features on the website. This fee is non-refundable.

In the event a confirmed tuition job is canceled after paying the 'Confirmation Fee' advance, you will receive a refund based on our 'Return Policy'. To qualify for a refund of your paid platform charge, there must be a valid reason for discontinuing the tuition job. Cancellation by a guardian/student for specific reasons is eligible for a refund. If our investigation finds the discontinuation was due to your error, you will not be eligible for a refund. You must notify us within 48 hours of job cancellation. Our team will review your discontinuation reason and process a refund at our discretion. You will have the opportunity to review and accept the fees charged to you.

Eudika reserves the right to modify platform charges, confirmation fees, or introduce new fees at any time, with advance notice posted on our Social Media Sites.

Payout for online Tutor Payments

Tutors receiving payments online may request a payout for the balance accrued from ongoing tuition. This balance will be paid out via bank transfer or Bkash, as specified in the tutor's payout request. It is the tutor's responsibility to ensure that the payout information provided is accurate. Eudika will not be liable for any issues arising from incorrect payout details. The balance will be paid out within 2-3 weeks of the payout request, with the platform charge deducted from the total amount.

Guardians/Students (Requesting Service)

You must be legally eligible to request the services you post on the site. Your request should be clearly described, including all service terms, on the site's posting page. Your request can include text descriptions and other relevant content. Ensure that your request(s) are posted in the appropriate category. Before accepting any services from Eudika, please acknowledge the following:

Eudika is not liable for any antisocial activities (such as stealing, threats, damage, kidnapping, rape, child abuse, harassment) committed by your hired tutor. While we verify a tutor’s profile for data authenticity, guardians/students can request a photocopy of the tutor’s latest or current educational qualification document, which can be held by them for the duration of the tutoring.
Eudika is not responsible for any behavioral issues of your hired tutor.
The continuation or discontinuation of tuition is solely at the discretion of your hired tutor. Eudika has no involvement or authority in this matter.
Registering as a guardian/student (Tutor Requester) and posting requests on Eudika is free.
When posting a tutor request, include as many details as possible to attract suitable responses from tutors.
We will display your tutor request on our job board, allowing registered tutors to apply. Before it goes live, our educational consultant will verify your request via phone.
Tutors cannot guarantee good grades, and a student’s grade cannot be used as a basis for demanding refunds for services later.
We are not involved in the interactions between tutors and students and are not liable for any disputes, disagreements, misinterpretations, or arguments that may arise between guardians/students and tutors. However, guardians/students and tutors are welcome to seek feedback and suggestions from us for amicable resolution.
Students are expected to behave in a manner typical of students in educational settings.
Students should exercise due diligence before accepting an assignment to avoid repercussions. Eudika is not responsible or liable for any unforeseen or unfortunate events, including but not limited to bodily injury, sexual or mental harassment of any kind.

Payment Process for Guardians/Students in Bangladesh

Guardians and students using our platform are not charged for hiring a tutor. However, they are responsible for paying the tutors' tuition fees, either directly or through our payment gateway. The salary should be confirmed according to your needs and will be displayed on our job board. Salaries are calculated from the hiring date. For local physical tutoring (such as home tutoring or group tutoring) where payment is made in cash, Eudika will not be involved in the transaction between tutors and guardians/students. Both parties should mutually agree on the method and timing for payment.

For “Online Tutoring,” if a guardian or student hires a tutor, they must pay the fee in advance after confirming their chosen tutor. Payments can be made through our secure online payment gateway.

Payment Process for Guardians/Students Abroad

The process for guardians or students abroad hiring a tutor for “Online Tutoring” is the same as in Bangladesh. They must pay the fee in advance after confirming their chosen tutor. Payments can be made through our secure online payment gateway.

Provide Accurate Information

The information you provide to us or other users, whether during registration, in offers or postings, in public messages, or through email, is your responsibility. We serve as a passive channel for the online distribution and publication of your information. The information you provide, including requests and services posted on the Site, must adhere to the following guidelines:

Should not be false, inaccurate, or misleading.
Must not be fraudulent.
Cannot infringe on any third party's copyright, patent, trademark, trade secret, or other proprietary or publicity/privacy rights.
Should not violate any law, statute, ordinance, or regulation (including but not limited to those related to export control, consumer protection, unfair competition, discrimination, or false advertising).
Must not be defamatory, trade libelous, unlawfully threatening, or harassing.
Should not be obscene.
Cannot contain viruses or programming routines that could harm systems, data, or personal information.
Should not create liability for us or cause us to lose services from our ISPs or other suppliers.
Must not link to or include descriptions of goods or services prohibited under this Agreement.

You may not post any request or complete any transaction initiated using our service that could result in a violation of applicable laws or regulations. Neither you, tutors, nor service requesters (students) may manipulate pricing or interfere with other users' postings or transactions. We reserve the right to suspend or terminate your account if we suspect any violations of the above.

By providing us with your information, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to exercise the copyright, publicity, and database rights (but not other rights) in your information, in any media now known or not yet known. We will use your information in accordance with our Privacy Policy.

Information on the Site is either proprietary to Eudika Technologies Ltd. or licensed to us by our users or third parties. You agree not to use any software or automated means to access the Site for any purpose without our express written permission.

Text Messages & PUSH Notifications

We send various text messages and PUSH notifications to guardians/students and tutors to notify them about their tutor requests and tuition updates.

Breach

We may restrict your activities, immediately remove your offers or request postings, issue a warning to our community about your actions, suspend or terminate your membership, and refuse to provide our services to you if: (1) you violate this Agreement or the documents it incorporates by reference; (2) we are unable to verify or authenticate any information you provide; (3) we believe your actions may cause financial loss or legal liability for you, our users, or us.

Privacy

We do not sell or rent your personal information to third parties for their marketing purposes without your explicit consent. We use your information as described in our Privacy Policy. If you object to your information being transferred or used in this manner, please do not use our services.

Liability Limit

In no event shall we, or other parties involved in creating, producing, or delivering the site, be liable for lost profits or any special, incidental, or consequential damages arising out of or in connection with our site, our services, or this Agreement (however arising, including negligence).

Copyright Policy

Eudika respects copyright law and expects its users to do the same. Eudika's policy is to terminate the accounts of members or other account holders who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders, under appropriate circumstances.

General

We do not guarantee that our services will meet the user's requirements. As a technology-based company, Eudika cannot always guarantee continuous, uninterrupted, and error-free services. The operation of this site may be affected by numerous factors beyond our control. You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the information provided by us, including any intellectual property rights of Eudika or any person, firm, or corporation offering information through our services.

You acknowledge that if your post or information violates any provision of these terms, we reserve the right to deny you or any person acting on your behalf access to the Site and Application, and to terminate and/or suspend your access in the future.
